LawFrame Terms of Use
Version: 2026-10-30
Effective Date: October 30, 2026
These Terms of Use (“Terms”) govern access to and use of LawFrame, including its websites, applications, contract-analysis tools, client-question tools, artificial-intelligence features, and related services (collectively, the “Service”).
The Service is provided by LawFrame, a Florida sole proprietorship doing business as LawFrame (“LawFrame,” “we,” “us,” or “our”).
By accessing or using the Service, creating an account, accepting an invitation, or clicking to accept these Terms, you agree to these Terms. If you use the Service for a law firm, company, or other organization, you represent that you have authority to bind that organization. That organization is the “Customer,” and you are an “Authorized User.”
If you do not agree to these Terms, do not access or use the Service.
1. Eligibility and Professional Use
The Service is intended for attorneys, legal professionals, law-firm personnel, and other authorized business users who are at least eighteen years old.
The Service is not intended for consumers seeking legal advice or representation. You may not use the Service if you lack legal capacity to enter into these Terms or if applicable law prohibits you from using it.
2. Customer Accounts
2.1 Account Creation
A person may create a firm account and start a trial without an invitation. That person is the firm administrator and the billing contact for the new firm. Additional people join that firm when a firm administrator invites them, or when LawFrame creates the account.
2.2 Account Information
You must provide accurate and current account information. You must keep your password and authentication credentials confidential and may not allow another person to use your account.
You must promptly notify LawFrame at richard@lawframe.co if you believe an account or credential has been compromised.
2.3 Customer Administrators
A Customer may designate one or more firm administrators. Administrators may invite or remove users, change user roles, reset account access, manage firm content, and perform other administrative actions.
The Customer is responsible for its administrators’ actions and for determining which personnel should have access to the Service.
2.4 Firm-Wide Access
LawFrame is organized around firm accounts. Uploaded contracts, clients, matters, client questions and answers, Firm Knowledge, updated documents, and related firm content may be accessible to other Authorized Users within the same Customer account, subject to the permissions implemented in the Service.
Ask This Contract keeps a conversation for one user and one agreement. Customers should not assume that every item is private to the individual user who created it.
An Authorized User may send a client questions on a link that does not require a LawFrame account. Opening or submitting that link does not create an account and does not make the recipient an Authorized User. The Customer is responsible for the questions sent and for the information the link shows.
2.5 Platform Administration
Authorized LawFrame administrators may access administrative information and may temporarily impersonate a non-administrator user account when reasonably necessary to provide support, investigate a security or technical problem, maintain the Service, or enforce these Terms. Administrative access and impersonation activity may be logged.
3. The Service
LawFrame provides tools that may include:
- uploading and processing one PDF, DOC, or DOCX agreement per matter, after a malware scan;
- extracting and organizing contract text;
- identifying sections, contract types, parties, and governing jurisdictions;
- creating embeddings used to search and retrieve provisions from the Customer’s agreements;
- generating clause summaries, risks, strengths, and clause types;
- answering questions about a particular agreement in Ask This Contract;
- maintaining clients, matters, client questions, and Firm Knowledge positions an attorney records;
- sending client questions on a link that does not require an account, and recording the answers;
- showing a proposed change to a clause for the attorney to save or discard;
- preparing an updated agreement from attorney-approved wording and exporting it as a Word document or text; and
- providing related administrative, security, billing, and operational features.
Features may be subject to account limits, usage limits, feature flags, technical requirements, or separate written agreements.
4. No Legal Services or Legal Advice
LawFrame is a software service. It is not a law firm, does not represent the Customer or any Authorized User, and does not provide legal advice.
Use of the Service does not create an attorney-client relationship between you or the Customer and LawFrame, its operator, its owners, its employees, or its contractors. No communication through the Service constitutes a legal opinion or a substitute for advice from qualified counsel.
The Service may generate legal-sounding language, identify potential issues, summarize provisions, or cite provisions from the Customer’s agreement. Those functions do not make the Service’s output legally correct, complete, current, or appropriate for a particular matter.
Authorized Users must independently review and verify all Service output before relying on it, providing it to a client, sending it to another party, filing it, signing it, or using it in a transaction.
5. Artificial Intelligence
5.1 AI-Assisted Features
LawFrame uses OpenAI for analysis, client-question drafts, wording suggestions, search, and embeddings. Firms and Authorized Users do not choose an AI provider or a model.
If OpenAI is unavailable, LawFrame does not send the request to a different AI provider. LawFrame may add, remove, or disable AI providers or models. Providers or models labeled experimental are subject to Section 16.
Depending on the feature used, LawFrame may send OpenAI:
- user questions and instructions;
- search queries;
- extracted contract clauses or other relevant excerpts;
- client-question drafts, including questions, explanations, summaries, and answer choices;
- proposed and revised clause language;
- Firm Knowledge positions and notes when a feature uses them; and
- other text needed to generate the requested result.
LawFrame generally extracts text from an uploaded document before submitting information to OpenAI. Full uploaded PDF or Word binaries are not ordinarily sent to OpenAI.
5.2 AI Limitations
AI-generated material may be inaccurate, incomplete, outdated, misleading, inconsistent, or unsuitable for its intended purpose. AI systems may misunderstand documents, omit material terms, make incorrect legal conclusions, or generate language that does not reflect applicable law or the Customer’s objectives.
Citations and references may also be incomplete or incorrect. Users must review the cited source and underlying document.
Confidence scores, clause classifications, quality scores, summaries, recommendations, and similar indicators are assistive signals only. They are not legal conclusions.
5.3 Human Review Required
The Customer is responsible for ensuring that a qualified person reviews all AI-generated analysis and drafting. LawFrame does not approve contracts, determine legal strategy, establish a standard of care, or replace professional judgment.
5.4 No Model Training by LawFrame
LawFrame does not use Customer Content to train a general-purpose artificial-intelligence model.
OpenAI states that information submitted through its API is not used to train or improve its models unless the API customer affirmatively opts in. LawFrame does not affirmatively opt Customer Content into model training.
Under OpenAI’s standard API data controls, prompts, responses, and embedding inputs may be retained for up to thirty days for abuse monitoring, and longer when required by law or to protect OpenAI. The Privacy Policy describes this retention.
6. Customer Content
6.1 Definition
“Customer Content” means information submitted to, stored in, or generated through the Service for a Customer, including contracts, uploaded files, extracted text, embeddings, client and matter information, client questions and answers, messages, notes, Firm Knowledge positions, updated documents, exports, and AI-generated results.
Customer Content does not include LawFrame’s software, general product materials, or de-identified and aggregated service data.
6.2 Ownership
As between LawFrame and the Customer, the Customer retains its rights in Customer Content supplied by or for the Customer.
The Customer grants LawFrame a limited, nonexclusive right to host, copy, process, transmit, display, modify, and create technical derivatives of Customer Content only as reasonably necessary to provide, secure, support, and improve the operation of the Service, comply with law, and enforce these Terms.
6.3 Customer Responsibilities
The Customer represents and warrants that:
- it has the right and authority to submit Customer Content;
- its submission and use of Customer Content complies with applicable law, professional obligations, contractual restrictions, court orders, and duties owed to clients and third parties;
- it has provided any notices and obtained any consents required to process personal or confidential information through the Service; and
- its instructions to LawFrame do not violate applicable law or another person’s rights.
6.4 Confidential, Privileged, and Regulated Information
The Service is designed for legal work and may process confidential information. Nevertheless, the Customer is responsible for determining whether use of the Service is consistent with its professional-responsibility obligations, client instructions, protective orders, confidentiality agreements, and privilege-preservation practices.
Unless LawFrame expressly agrees otherwise in writing, the Customer must not use the Service to process:
- protected health information subject to HIPAA;
- payment-card information subject to PCI DSS;
- biometric identifiers;
- authentication credentials or private encryption keys;
- classified information; or
- information whose processing requires security or contractual safeguards that LawFrame has not agreed to provide.
6.5 Customer Instructions
LawFrame will process Customer Content to provide the Service and in accordance with the Customer’s documented instructions, these Terms, any applicable order form, and any applicable data-processing agreement.
7. Confidentiality
Each party may receive nonpublic information belonging to the other party that is identified as confidential or that reasonably should be understood to be confidential.
The receiving party will:
- use confidential information only to perform or receive services under the parties’ agreement;
- use reasonable safeguards to protect it; and
- disclose it only to personnel, contractors, and service providers who need access and are subject to confidentiality obligations.
These obligations do not apply to information that the receiving party can demonstrate:
- is or becomes public without breach of an obligation;
- was lawfully known without a confidentiality restriction;
- was lawfully received from a third party without a confidentiality restriction; or
- was independently developed without using the other party’s confidential information.
A party may disclose confidential information when legally required, provided that it gives notice when legally permitted and reasonably cooperates with efforts to limit the disclosure.
8. Public-Source Material
The current Service does not offer a public-precedent browser and does not collect contracts from public filing systems for customer use.
If older public-source records remain in storage, they are kept separate from a Customer’s private content unless a user previously copied material into that Customer’s account. The Customer is responsible for determining whether and how it may use any public-source material in its account.
LawFrame does not represent that:
- a public document remains current;
- its source metadata is complete or error-free;
- a provision is enforceable or appropriate for the Customer;
- a public filing reflects the final agreement between its parties; or
- the public availability of a document eliminates all copyright, privacy, confidentiality, contractual, or other restrictions.
References to a company, law firm, attorney, filing party, government agency, or other person do not imply endorsement or affiliation.
9. Acceptable Use
You may not:
- access or use the Service unlawfully;
- submit content that you lack authority to process;
- attempt to access another Customer’s private data;
- share credentials or evade account restrictions;
- probe, scan, or test the Service for vulnerabilities without written authorization;
- interfere with the Service or place an unreasonable burden on its infrastructure;
- introduce malicious code or use the Service to distribute malware;
- reverse engineer, decompile, or attempt to derive the source code of the Service except to the limited extent applicable law expressly permits;
- scrape or systematically extract Service content or metadata to build a competing database or product;
- use the Service or its output to train or develop a competing model or service without LawFrame’s written permission;
- misrepresent AI-generated content as having been reviewed or approved by LawFrame;
- use the Service to make fully automated decisions that produce legal or similarly significant effects on an individual without legally sufficient human review;
- upload highly regulated information prohibited by Section 6.4; or
- use the Service in a way that violates professional rules, court rules, sanctions restrictions, export-control laws, or another person’s rights.
LawFrame may investigate suspected violations and may suspend access when reasonably necessary to protect the Service, its customers, or third parties.
10. Intellectual Property
10.1 LawFrame Materials
LawFrame and its licensors retain all rights in the Service, software, interfaces, workflows, system prompts, methods, designs, documentation, taxonomies, databases, and other LawFrame-provided materials (“LawFrame Materials”).
Except for the limited right to use the Service under these Terms, no right in LawFrame Materials is transferred to the Customer.
10.2 Generated Output
Subject to the Customer’s compliance with these Terms and payment of applicable fees, LawFrame assigns to the Customer any rights LawFrame may have in AI-generated output created specifically in response to the Customer’s use of the Service.
This assignment does not include:
- LawFrame Materials;
- public-source material;
- third-party content;
- Customer Content belonging to another person;
- general ideas, methods, concepts, or know-how; or
- material that applicable law does not permit anyone to own.
AI-generated output may be similar or identical to output generated for other users. LawFrame does not warrant that output is unique, protectable, noninfringing, or eligible for copyright, patent, trademark, or other protection.
10.3 Feedback
If you provide product suggestions or feedback, LawFrame may use that feedback without restriction or compensation, provided that LawFrame does not publicly identify the Customer as the source without permission.
10.4 Aggregated Information
LawFrame may create and use statistics and operational information that have been aggregated or de-identified so they do not reasonably identify a Customer, Authorized User, client, matter, contract, or other person.
LawFrame will not use de-identified data to reconstruct identifiable Customer Content.
11. Third-Party Services
The Service depends on third-party providers for functions such as hosting, databases, object storage, email delivery, AI processing, fonts, infrastructure, and performance monitoring.
Those providers may process information as described in the Privacy Policy and any applicable subprocessor list. LawFrame is not responsible for a third-party website or service that a user independently visits or connects to the Service.
12. Fees and Plans
12.1 Trial
A person who creates a firm account starts a 14-day trial. No payment card is required during the trial. LawFrame uses Stripe to manage trials and subscriptions. If the trial ends and no card is on file, LawFrame does not charge the Customer, and the firm moves to the Free plan described in Section 12.2, subject to Section 12.6.
12.2 Free Plan
The Free plan is for a firm with one attorney who can sign in. It does not expire and does not require a payment card. Each calendar month, the Free plan includes three new contract uploads and fifty Ask This Contract questions. Deleting a contract does not restore an upload for that month. Unused allowances do not carry over. AI features, including processing of a new contract, may pause for the rest of the month when the firm reaches a monthly usage limit, and resume at the start of the next month or when the firm upgrades. LawFrame does not charge for the Free plan, and reaching a limit does not result in a charge. When a limit is reached, contracts and other Customer Content already in the account remain available, as do features that do not use AI.
12.3 Changes to the Free Plan
LawFrame may change the Free plan’s limits or features by giving at least thirty (30) days’ notice through the Service or by email. LawFrame may also discontinue the Free plan by giving at least thirty (30) days’ notice through the Service or by email; during that notice period the firm keeps access to view and download its contracts and may upgrade to a paid plan. A change to or discontinuation of the Free plan does not by itself delete Customer Content.
12.4 Paid Plans and Upgrading
A firm administrator may upgrade to a paid plan at any time from the Billing page by entering a payment card in Stripe. Paid plans are billed monthly through Stripe for attorneys who can sign in. Pending invitations are not billed. The first attorney is $59 per month. Two attorneys are $99 per month. Each additional attorney is $39 per month. Adding or removing an attorney changes the monthly price. Paid-plan limits apply once Stripe confirms the upgrade.
12.5 Cancellation and Downgrade
A firm administrator may cancel a paid plan in Stripe’s billing portal. Cancellation takes effect at the end of the current billing period, and the paid plan continues until then. At the end of that period, the firm moves to the Free plan, subject to Section 12.6.
12.6 Firms with More Than One Attorney
The Free plan is available only while a firm has one attorney who can sign in. If a trial or paid plan ends while a firm has more than one, the firm’s account becomes read-only: Authorized Users may sign in and view and download Customer Content, but may not upload contracts, use AI features, or make other changes, except that a firm administrator may remove attorneys and manage billing. The firm moves to the Free plan when one attorney remains, or returns to a paid plan when it upgrades. A firm on the Free plan must upgrade before adding a second attorney.
12.7 Customer Content Across Plan Changes
Moving between a trial, the Free plan, and a paid plan does not delete contracts or other Customer Content. Section 15 governs termination of the account.
12.8 Payment Details and Other Terms
Payment card numbers are entered in Stripe and are not stored by LawFrame. A firm administrator may update the payment method and view invoices in Stripe’s billing portal. Stripe may email the billing contact about receipts, trials, and cards.
A firm may instead be covered by a separate written arrangement and not billed on this schedule.
Unless a written agreement states otherwise:
- fees are nonrefundable except when required by law;
- the Customer is responsible for applicable taxes other than taxes on LawFrame’s net income; and
- LawFrame may suspend paid access for overdue undisputed amounts after reasonable notice.
If a written agreement conflicts with these Terms, the written agreement controls with respect to that conflict.
13. Availability and Changes
LawFrame may modify, add, remove, restrict, or discontinue Service features. LawFrame may impose reasonable usage, storage, user, document, or AI-processing limits. Free plan limits are described in Section 12.2.
The Service may occasionally be unavailable because of maintenance, provider outages, security events, technical failures, or circumstances outside LawFrame’s reasonable control.
Unless an order form expressly establishes a service-level commitment, LawFrame does not guarantee any particular uptime, processing time, response time, backup interval, recovery point, or recovery time.
14. Suspension
LawFrame may suspend access if:
- the Customer materially breaches these Terms;
- fees are overdue;
- an account presents a security risk;
- use may harm the Service or another person;
- suspension is reasonably necessary to comply with law; or
- a Customer account or firm has been disabled.
When practicable, LawFrame will provide notice and a reasonable opportunity to cure before suspension. Immediate suspension may be appropriate for urgent security, legal, or operational risks.
15. Term and Termination
These Terms continue while the Customer or an Authorized User accesses the Service.
Ending a trial or cancelling a paid plan moves the firm to the Free plan under Section 12 and does not terminate the Customer’s account. The Customer may terminate its account at any time from Settings (firm administrators: Settings → Close my account) or by contacting LawFrame at richard@lawframe.co. LawFrame may terminate access for material breach, nonpayment, unlawful use, security risk, or discontinuation of the Service.
Before termination, the Customer should use available download or export functions to retrieve needed information. LawFrame does not currently promise a bulk export in every format.
After termination, LawFrame may disable access and delete Customer Content according to its retention practices, applicable law, and any separate written agreement. Residual copies may remain temporarily in backups, security records, or systems where immediate deletion is technically impracticable. An account closed by a firm administrator is disabled immediately and starts a seven (7) day period, after which its Customer Content is permanently deleted, except copies in backups that age out under LawFrame’s retention practices and de-identified records.
Termination does not affect accrued payment obligations or provisions that by their nature should survive, including provisions concerning ownership, confidentiality, disclaimers, indemnification, limitations of liability, and disputes.
16. Pilot and Beta Services
Features identified as pilot, beta, experimental, preview, or pre-release may be incomplete and may contain defects.
Such features may be changed or discontinued without notice and are provided for evaluation. Unless a written agreement states otherwise, pilot and beta features are not intended for unsupported, unattended, or mission-critical use.
The current Service does not include multifactor authentication or passkeys as an active security control, even if the interface or database contains fields reserved for future implementation.
17. Warranty Disclaimer
To the maximum extent permitted by law, the Service, output, and all related materials are provided “as is” and “as available.”
LawFrame disclaims all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, availability, security, and error-free operation.
LawFrame does not warrant that the Service will identify every issue, produce correct legal analysis, preserve privilege in every circumstance, satisfy a professional standard of care, or meet the Customer’s particular requirements.
18. Indemnification
The Customer will defend, indemnify, and hold harmless LawFrame and its officers, owners, employees, contractors, and agents from third-party claims, damages, judgments, penalties, costs, and reasonable attorneys’ fees arising from:
- Customer Content;
- the Customer’s or an Authorized User’s violation of these Terms;
- unlawful or unauthorized use of the Service;
- the Customer’s violation of professional duties or obligations to a client or third party; or
- the Customer’s use or distribution of Service output.
LawFrame will promptly notify the Customer of a covered claim and reasonably cooperate in its defense. The Customer may not settle a claim in a way that admits fault by or imposes a nonmonetary obligation on LawFrame without LawFrame’s written consent.
19. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, business, goodwill, or data, even if advised that such damages were possible.
To the maximum extent permitted by law, LawFrame’s total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of:
- the amounts paid or payable by the Customer to LawFrame for the Service during the twelve months before the event giving rise to liability; or
- one hundred dollars.
These limitations apply regardless of the legal theory asserted and even if a remedy fails of its essential purpose.
Nothing in these Terms excludes liability that applicable law does not permit a party to exclude.
20. Governing Law and Venue
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
The state and federal courts located in Escambia County, Florida will have exclusive jurisdiction over disputes arising from or relating to the Service or these Terms. Each party consents to personal jurisdiction and venue in those courts.
21. Changes to These Terms
LawFrame may update these Terms from time to time.
If a change is material, LawFrame will provide reasonable notice through the Service, by email, or by another appropriate method. The updated Terms will state their effective date.
A material change will apply prospectively. Continued use after the effective date of updated Terms constitutes acceptance to the extent permitted by law.
22. Notices
LawFrame may provide notices electronically through the Service or at the email address associated with an account.
Legal notices to LawFrame must be sent to:
Email: richard@lawframe.co
23. General Terms
These Terms, together with the Privacy Policy, applicable order forms, and any executed data-processing agreement, constitute the entire agreement concerning the Service unless the parties execute another written agreement.
The Customer may not assign these Terms without LawFrame’s written consent, except in connection with a merger, reorganization, or sale of substantially all relevant assets. LawFrame may assign these Terms in connection with a corporate reorganization, financing, merger, acquisition, or sale of assets.
Neither party is liable for delay caused by circumstances beyond its reasonable control.
Failure to enforce a provision is not a waiver. If any provision is unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain effective.
Headings are for convenience only. Electronic acceptance and electronic notices are effective.
